CUENTAS CLARAS TERMS AND CONDITIONS

1. Introduction and acceptance

These Terms and Conditions govern access to, registration for, contracting of, and use of Cuentas Claras, a digital service developed and marketed under the Merabo Group brand.

By creating an account, subscribing to a plan, or using Cuentas Claras, the user represents that they have read and understood these Terms and Conditions and agrees to be bound by them.

Where applicable, acceptance will be recorded electronically together with the version of the Terms accepted, the language used, the date, and other technical information reasonably necessary to evidence such acceptance.

If the user does not agree with these Terms and Conditions, they must refrain from contracting for or using the service.

2. Purpose of the service

Cuentas Claras is a digital tool intended to facilitate the organization and management of information relating to personal, family, or household finances.

Depending on the features available at any given time, the service may allow users to record, organize, classify, consult, and analyze information relating to, among other things, income, expenses, savings, investments, debts, payment methods, budgets, due dates, financial goals, and other transactions or data entered by users.

Cuentas Claras may incorporate new features, modify existing ones, or discontinue certain functions as a result of technical, operational, commercial, regulatory, or security improvements.

3. Nature of Cuentas Claras

Cuentas Claras is exclusively a management, organization, and information tool.

Cuentas Claras is not a bank, financial institution, digital wallet, investment platform, financial intermediary, accounting firm, financial advisor, investment advisor, or fund manager.

Cuentas Claras does not receive, hold, manage, invest, or transfer users' money.

The amounts, accounts, cards, debts, investments, savings, and other financial concepts that the user may record within the application serve an organizational and informational purpose and do not imply that Cuentas Claras has control over such assets, liabilities, accounts, or payment methods.

4. Absence of professional advice

The information provided by Cuentas Claras, including calculations, statistics, charts, reports, alerts, classifications, comparisons, projections, budgets, automated suggestions, or any other feature, is exclusively for informational and management purposes.

Nothing presented by Cuentas Claras should be construed as financial, accounting, tax, legal, estate, or investment advice.

The user is responsible for evaluating their particular situation and, when necessary, consulting duly qualified professionals.

5. Account holder, age and legal capacity

The person who subscribes to a plan or acts as the primary holder of a Cuentas Claras account must be at least eighteen (18) years of age and have sufficient legal capacity to enter into a contract.

Cuentas Claras does not necessarily perform a systematic documentary verification of the age of every user, without prejudice to its ability to request additional information when reasonably necessary or legally required.

When an account allows the addition of members, collaborators, or participants in a family group, the status of such users will also be governed by the features, permissions, and limitations available within the service.

6. Registration and account security

The user must provide accurate information and keep the data necessary for the operation of their account up to date.

The user is responsible for maintaining the confidentiality of their access credentials and for taking reasonable measures to prevent unauthorized access to their account.

The user must notify Cuentas Claras of any unauthorized access or security incident affecting their account of which they become aware.

Cuentas Claras may implement additional authentication, verification, or security mechanisms when convenient or necessary.

7. Shared use and collaborators

Cuentas Claras may allow an account, household, or financial space to be used by more than one person.

The functions available to each member may depend on the role or permissions assigned to them.

The account holder must use the invitation and shared-access features responsibly and must have sufficient authorization to add information belonging to third parties.

The deletion of one member's account will not necessarily result in the automatic deletion of shared information that legitimately belongs to other members of the same space or that is necessary to maintain the integrity of the remaining users' data.

8. Information entered by the user

The user is responsible for the accuracy, completeness, and timeliness of the information they enter into Cuentas Claras.

Cuentas Claras may process such information in order to provide the contracted features, perform calculations, generate reports, synchronize information, maintain backups, improve security, and properly provide the service.

Cuentas Claras does not guarantee that the results obtained will be correct when the information provided by the user is incorrect, incomplete, outdated, or was entered erroneously.

9. Calculations, reports, alerts and automated features

The calculations, reports, statistics, budgets, alerts, reminders, classifications, and other results generated by Cuentas Claras depend on the data available and the rules used by the system.

Although reasonable measures will be taken to seek their correct operation, errors, omissions, delays, rounding differences, synchronization issues, or other technical circumstances may occur.

Alerts and reminders are auxiliary tools. The user remains responsible for monitoring their obligations, due dates, balances, payments, and other financial commitments.

10. Permitted use

Cuentas Claras must be used exclusively for lawful purposes and in accordance with these Terms and Conditions and applicable law.

The user may use the service to organize their own financial information or information for which they have sufficient authorization.

11. Prohibited uses

It is prohibited to use Cuentas Claras to:

a) carry out unlawful, fraudulent, or abusive activities;

b) infringe the rights of third parties;

c) attempt to gain unauthorized access to accounts, systems, servers, or information;

d) introduce malicious code or take actions intended to harm the security or availability of the service;

e) use the identity or information of third parties without authorization;

f) circumvent security, access, subscription, or payment mechanisms;

g) use the service in any other manner contrary to applicable law or to these Terms and Conditions.

12. Subscription and access to the service

Certain Cuentas Claras features may require a paid subscription.

The plans, features, billing frequency, commercial terms, and other characteristics of each subscription will be disclosed to the user before contracting.

Access to the corresponding features will depend on the status of the subscription and compliance with the applicable terms.

13. Prices and commercial terms

The applicable price will be exclusively the one disclosed to the user during the contracting or purchase process.

These Terms and Conditions do not establish a permanent price for the service.

Before contracting, the user must be able to know the price, currency, billing frequency, plan features, the existence of any trial period, renewal terms, and other relevant commercial information.

Prices and plans may be modified for future contracts. When a modification affects an existing subscription, the user will be notified where applicable and in accordance with applicable law.

14. Trial periods

Cuentas Claras may offer free or promotional trial periods.

Where a trial period exists, its duration, conditions, and specific scope —including any need to provide a payment method— will be clearly disclosed before the contract is completed.

The terms applicable to the trial period will be those shown to the user at the time the subscription is started.

At the end of the trial period, the subscription may automatically convert into a paid subscription in accordance with the previously disclosed terms, unless the user cancels it within the corresponding period.

Subsequent changes to the duration or terms of trial periods will apply only to new contracts and will not retroactively modify trial periods already begun, except where required by applicable law and duly disclosed to the user.

15. Payment and subscription processing

Contracting, payment processing, renewals, and certain subscription-management functions may be carried out through external payment and sales platforms enabled by Cuentas Claras.

The available platform will be identified to the user during the contracting process.

Processing of the payment method will also be subject to the terms, policies, and security measures of the corresponding external provider.

Cuentas Claras may receive from such providers the information necessary to determine the status of the contract, payment, or subscription and to enable or restrict access to the service.

16. Card, bank account and payment method data

Cuentas Claras and Merabo Group will not directly request from the user full credit or debit card numbers, security codes (CVV/CVC), banking PINs, passwords for access to financial institutions, or other credentials intended to authorize transactions or access financial accounts.

When it is necessary to provide information relating to a payment method in order to contract for or maintain a subscription, that information will be requested and processed directly by the external payment or subscription provider enabled for the transaction, in accordance with that provider's own terms, privacy policies, and security measures.

Cuentas Claras and Merabo Group may receive from the external provider only the information necessary to manage the contractual relationship and access to the service, such as subscription status, confirmation or rejection of a payment, billing dates, transaction identifiers, plan type, or other limited data related to the transaction, without needing to access the complete payment-method data or credentials.

Cuentas Claras and Merabo Group will never ask the user to disclose banking passwords, card security codes, or credentials for access to their financial accounts by email, messaging, technical support, or any other communication channel.

Charges corresponding to a subscription authorized by the user may be processed by the external payment provider in accordance with the terms accepted at the time of contracting. This does not imply that Cuentas Claras or Merabo Group have direct access to the user's financial credentials.

17. Subscription renewal

Where the contracted plan provides for automatic renewal, the subscription may renew for successive periods in accordance with the terms disclosed to the user at the time of contracting.

The corresponding charges will be processed by the external payment or subscription provider used for the contract.

The user may cancel the renewal using the mechanisms available within Cuentas Claras or on the external platform through which they contracted.

18. Subscription cancellation

The user may request cancellation of their subscription using the electronic mechanisms enabled for that purpose.

Where the subscription was contracted through an external provider, certain cancellation functions may be handled through that provider.

Cancellation will prevent future renewals, without prejudice to the user's ability to retain access until the end of the period already contracted or paid for, where applicable.

Cuentas Claras will inform the user of, or provide a reasonably accessible mechanism to identify, where to manage their subscription.

19. Refunds, withdrawal and consumer rights

Refunds, withdrawal rights, and other rights relating to distance or electronic contracting will be governed by the mandatory applicable law and, where applicable, by the terms of the external provider used to process the contract.

Where Argentine consumer protection law is applicable, the user will have the right to withdraw their acceptance within the applicable legal period, currently set at ten (10) calendar days, without prejudice to any other rights they may have.

No provision of these Terms shall be construed as a waiver or limitation of non-waivable rights recognized in favor of the consumer.

20. Missed or declined payment

Where a charge is declined, cannot be processed, or another irregularity relating to the payment of a subscription occurs, the external provider may make further collection attempts in accordance with its own terms.

Cuentas Claras may limit or suspend access to paid features while the situation remains unresolved.

Where a subscription cannot be renewed due to non-payment, the account information may be retained for thirty (30) days from the failed payment, in order to allow the situation to be resolved, the subscription reactivated, or the information exported.

After that period has elapsed without resolution, Cuentas Claras may delete or anonymize information that is no longer necessary, except for information that must be retained due to legal obligations or another legitimate legal basis.

21. Cancellation, expiration and account deletion

Cancelling a subscription and deleting an account are different actions.

Where the user voluntarily cancels a subscription, they may retain access until the end of the contracted or paid period, where applicable.

Once that period has ended, the account may remain inactive for thirty (30) days, during which the user may, where technically available, reactivate their subscription or export the corresponding information.

After those thirty (30) days have elapsed without reactivation, Cuentas Claras may delete or anonymize the data that is no longer necessary to retain, except for data subject to a legal retention obligation or another legitimate legal basis.

The user may also expressly request the deletion of their account using the functions or mechanisms enabled for that purpose.

22. Data export

Cuentas Claras will seek to provide the user with mechanisms to export the information they have recorded before their account is permanently deleted.

Export may be performed in a structured and reasonably accessible format, such as XLSX, CSV, or another technically suitable format available at the time.

The exported information may include transactions and other user records organized in a way that facilitates their review and retention.

Before confirming a voluntary account deletion, Cuentas Claras may remind the user of the option to perform such an export.

It is the user's responsibility to securely keep any copies they download.

23. Deletion and retention of information

When the user requests deletion of their account, Cuentas Claras will delete or anonymize the personal and financial information that is no longer necessary for the legitimate purposes of the service.

Cuentas Claras does not intend to indefinitely retain the financial history of users who have deleted their accounts.

However, certain minimal information may be retained where necessary to comply with legal, regulatory, tax, or contractual obligations; to exercise or defend rights; to manage claims; to prevent or investigate fraud or security incidents; to evidence transactions or consents; to respond to competent authorities; or where another legitimate legal basis for retention exists.

In such cases, efforts will be made to limit the information retained to what is strictly necessary and to the corresponding period.

24. Ownership of user information

Use of Cuentas Claras does not transfer to Cuentas Claras or Merabo Group ownership of the personal financial information entered by the user.

The user retains whatever rights they hold over such information.

The user authorizes its processing to the extent necessary to provide, maintain, protect, and improve the service in accordance with these Terms and the Privacy Policy.

25. Intellectual property

The software, design, interface, structure, proprietary text, graphic elements, trademarks, logos, features, technological foundations, and other content owned by Cuentas Claras are protected by applicable intellectual property law and other corresponding rights.

Contracting for the service grants the user only a limited, personal, revocable, non-exclusive, and non-transferable right to use Cuentas Claras in accordance with these Terms.

Reproduction, modification, distribution, reverse engineering, unauthorized commercial exploitation, or use of the service's protected elements beyond the limits permitted by applicable law is prohibited.

26. External technology providers

Cuentas Claras may use external technology providers for functions such as hosting, infrastructure, authentication, databases, storage, communications, analytics, security, payment processing, and other services necessary to operate the application.

Such providers will be used with the aim of selecting services suited to Cuentas Claras's operational and security needs.

Information regarding the processing of personal data through third parties is set out in further detail in the Privacy Policy.

27. Security and confidentiality

Cuentas Claras will adopt reasonable technical and organizational measures aimed at protecting information against unauthorized access, loss, alteration, disclosure, or improper destruction.

However, no system connected to the Internet can guarantee absolute security.

The user acknowledges that there may be technological risks inherent to the use of digital services and must also take reasonable measures to protect their devices, credentials, and accounts.

28. Availability, maintenance and updates

Cuentas Claras will seek to keep the service reasonably available, but does not guarantee uninterrupted availability or the absolute absence of errors.

The service may be temporarily interrupted for maintenance, updates, technical incidents, issues with external providers, force majeure, or circumstances beyond Cuentas Claras's reasonable control.

Updates may be made to fix errors, improve security, introduce new features, or adapt the service to technological, commercial, or regulatory changes.

29. User responsibility for their decisions

Cuentas Claras is a management tool. Financial, economic, estate, tax, accounting, savings, investment, borrowing, or spending decisions are the exclusive responsibility of the user.

The existence of calculations, alerts, statistics, reports, classifications, or any other information within the application does not replace personal judgment or professional advice when necessary.

The user is responsible for verifying the relevant information before making decisions that may have economic consequences.

30. Limitation of liability

To the extent permitted by applicable law, Cuentas Claras and the party responsible for it will not be liable for economic decisions made exclusively on the basis of information entered into or generated by the application, especially where the data provided by the user is incorrect, incomplete, or outdated.

Nor will they be liable for interruptions or failures attributable to external providers, communication networks, the user's devices, acts of God, force majeure, or other circumstances beyond their reasonable control.

Nothing in this section shall exclude or limit liability that cannot be lawfully excluded or limited, particularly liability arising from mandatory consumer protection rules.

31. Misuse, security and cooperation with authorities

Cuentas Claras does not aim to monitor its users' economic decisions or to determine on its own initiative the lawfulness of their financial activities.

Notwithstanding the foregoing, it may adopt reasonable measures to protect the service against fraud, abuse, unauthorized access, cyberattacks, unlawful use, or security risks.

Where there is a court order, a valid request from a competent authority, a legal obligation, or any other circumstance in which the law authorizes or requires the provision of information, Cuentas Claras may preserve and deliver the legally required information.

Any disclosure of information will be limited, as far as possible, to the legitimate scope of the corresponding request.

32. Suspension or cancellation for breach

Cuentas Claras may suspend, restrict, or cancel an account where there is a serious breach of these Terms, fraudulent or unlawful use, a security risk, an attempted unauthorized access, non-payment, or another legitimate cause.

Where circumstances allow, efforts will be made to notify the user of the measure taken.

Suspension or cancellation will not affect any rights the user may have under applicable law.

33. Discontinuation of the service

Cuentas Claras may substantially modify or discontinue the service, in whole or in part, where commercial, technical, regulatory, operational, or other reasons justify it.

Where reasonably possible, users will be notified with sufficient advance notice.

In the event of a permanent discontinuation, Cuentas Claras will seek to provide affected users with a reasonable mechanism to export the available information before the service is closed.

34. Communications

Cuentas Claras may send communications relating to the account, security, subscription, payments, contractual changes, the operation of the service, or information necessary for the relationship with the user.

Promotional or commercial communications will be managed in accordance with applicable law and the preferences available to the user.

The user is responsible for keeping their contact information up to date.

35. Amendments to these Terms

Cuentas Claras may amend these Terms and Conditions when necessary due to legal, regulatory, technological, operational, or commercial changes, or changes related to the service's features.

The current version will be identified by its version number or update date.

Where an amendment is substantial and required under applicable law, the user will be notified and may be asked to accept the Terms again before continuing to use certain features.

36. Record of acceptance

Cuentas Claras may keep electronic records intended to evidence acceptance of these Terms and Conditions.

Such records may include the version accepted, the language used, the date and time of acceptance, the user identifier, and other technical information reasonably necessary to evidence consent.

37. Privacy Policy

The processing of personal data carried out in connection with Cuentas Claras is additionally governed by the Cuentas Claras Privacy Policy.

Acceptance of these Terms does not replace any information or consents that may be required regarding the processing of personal data.

The Privacy Policy must be available for review before the service is used and may be updated in accordance with applicable law.

38. Identification of the party responsible for the service

Cuentas Claras is a digital service developed and marketed under the Merabo Group brand.

Merabo Group is currently a commercial name and does not by itself constitute an independent legal entity.

While the service is operated under this structure, the party legally responsible for its provision is:

Responsible party: Diego Martin Ochoa Tax ID (CUIT): 20-27790842-6 Address: 25 de Mayo 1555, Libertador San Martín, Entre Ríos, Argentina Contact and support email: merabogroup@gmail.com Website: merabogroup.com

Use of the Merabo Group brand does not modify or limit the responsibilities that legally correspond to the identified responsible party.

If, in the future, the operation of Cuentas Claras is transferred to a legal entity or other duly authorized operator, the corresponding identification will be updated and users will be notified where necessary.

39. Governing law

These Terms and Conditions will be governed principally by the laws of the Argentine Republic, including the mandatory rules applicable in matters of consumer protection and personal data protection.

The foregoing is without prejudice to the mandatory rules that may apply based on the consumer's domicile or residence, or other rules of private international law.

40. Dispute resolution and jurisdiction

In the event of any dispute relating to Cuentas Claras, the parties will initially seek to find a solution through the available contact channels, where reasonable.

If it is not possible to resolve the dispute in that manner, the competent administrative or judicial authorities under applicable law will have jurisdiction.

No provision of these Terms shall be construed as an advance waiver by the consumer of rights, authorities, or jurisdictions that are mandatorily available to them by law.

41. Severability

If any provision of these Terms is declared invalid, illegal, or unenforceable by a competent authority, the remaining provisions will continue in force to the extent permitted by applicable law.

Where possible, the affected provision will be interpreted or adapted in a manner consistent with applicable law and with the purpose originally intended.

42. No waiver

Failure to exercise, or delay in exercising, any right provided for in these Terms will not constitute a waiver of that right.

43. Change of operator or transfer of the service

The operation of Cuentas Claras may in the future be reorganized, transferred, or continued by a company, legal entity, or other duly authorized operator.

Where such a change involves a material modification regarding the contractual responsible party or the processing of personal data, users will be notified in accordance with applicable law and the corresponding legal documents will be updated.

Any transfer of the service may not be used to reduce vested rights or non-waivable rights recognized in favor of users.
